Affiliate Program Terms & Conditions "Recommend & Earn"

§ 1. Affiliate Program Organizer

The Organizer of the "Recommend & Earn" Affiliate Program within the OperPilot platform is:

§ 2. Definitions

1. Affiliate Program – referral program run by the Organizer under the name "Recommend & Earn", enabling registered Users to earn recurring commission fees for effectively referring the Service to new customers.

2. Partner (Affiliate) – any registered User of the Service (an individual of legal age, a sole proprietor, or a corporate legal entity) who participates in the Affiliate Program.

3. Referred Customer – a new user who registered an account with the Service using a Partner's unique Affiliate Link or Referral Code and purchased a paid subscription plan.

4. Affiliate Link – a dedicated URL containing the Partner's unique referral identifier (e.g., ?ref=CODE), used to track and attribute registrations and subscription payments.

5. Recurring Commission – remuneration payable to the Partner amounting to 25% of the subscription price paid by the Referred Customer.

6. Service – the OperPilot platform available at operpilot.com.

§ 3. Program Eligibility

1. Participation in the Affiliate Program is voluntary and completely free of charge.

2. Every registered User of the Service automatically receives access to a unique Referral Code and Affiliate Link in the "Affiliate Program" tab within the OperPilot dashboard.

3. The Program is open to business entities (settling via invoice) as well as individuals of legal age.

§ 4. Commission Calculation (Lifetime Recurring Model)

1. The Partner earns a commission of 25% (twenty-five percent) of the subscription price paid and settled by each Referred Customer.

2. Lifetime Recurring Model: Commission is accrued on every consecutive renewal for as long as the Referred Customer maintains an active, paying subscription to the Service.

3. Attribution and Cookies: Attribution operates on a last-click basis using a tracking cookie stored in the visitor's browser for 60 (sixty) days. If the user registers within 60 days of clicking, they are permanently linked to the Partner's account.

4. Commissions are not granted on refunded transactions, chargebacks, or fraudulent activities violating these Terms.

§ 5. Welcome Discount for Referred Customers (Win-Win)

1. Every Referred Customer registering via an Affiliate Link receives an exclusive 20% (twenty percent) welcome discount on their first paid subscription billing cycle.

2. Stackable with Free Trial: The 20% discount is applied alongside the 7-day free trial. The customer tests the Service for 7 days free of charge, and the 20% discount is automatically deducted upon the first payment.

3. Starting from the second billing cycle, the customer pays the regular subscription price, and the Partner's commission is 25% of that regular subscription price.

§ 6. Payout Terms and Tax Settlement

1. Accrued commissions accumulate in the Partner's virtual balance inside the application dashboard.

2. Minimum Payout Threshold: The minimum withdrawal threshold is 35.00 EUR (or 150.00 PLN). Once reached, the Partner may request a payout directly via the dashboard form.

3. 30-Day Transaction Verification (Grace Period): Every accrued commission initially receives a pending status. Upon the expiration of 30 (thirty) days from the date of payment by the Referred Customer, the commission automatically transitions to available for withdrawal, provided the transaction was not reversed via chargeback or refund.

4. 100% Payout Without Tax Withholdings: OperPilot transfers the full accrued commission amount (100%) without making any tax withholdings or deductions. Payouts are executed via bank transfer (including SEPA in EUR) within 14 (fourteen) business days following receipt of correct payment details or invoice.

5. Business Entities (B2B): Payouts to registered companies and self-employed businesses are made upon receipt of a valid commercial or VAT invoice issued to: Warsaw Trade Sp. z o.o., ul. Eugeniusza Kwiatkowskiego 6/12, 03-984 Warsaw, Poland, EU VAT ID: PL1132897602.

6. International Partners & Individuals: OperPilot transfers 100% of accrued commissions without withholding Polish taxes at source. The Partner is solely responsible for reporting and settling income taxes with the competent tax authority in their country of tax residence according to local laws and applicable double taxation treaties.

§ 7. Permitted and Prohibited Promotion Methods

1. Permitted Promotional Channels:

• a) Sharing Affiliate Links and official banners on personal blogs, websites, and community forums.
• b) Publishing original reviews, comparison articles, tutorials, and video walkthroughs (e.g., YouTube).
• c) Sending Affiliate Links to opted-in newsletter subscribers who have consented to promotional content.
• d) Recommending the Service across social channels (LinkedIn, X, Facebook, Instagram) with transparent disclosure.

2. Strictly Prohibited Practices:

• a) Brand Bidding: Running paid search or social ads (Google Ads, Bing Ads, Meta Ads) targeting the brand name "OperPilot", its variations, discounts, or typos.
• b) Self-Referral: Registering accounts for oneself, immediate employees, or personal household using one's own affiliate link to artificially obtain discounts or commissions.
• c) Spam: Sending unsolicited communications (SPAM), bulk cold direct messaging, or unauthorized forum scraping.
• d) Misrepresentation: Impersonating the official OperPilot brand or making false product claims.

§ 8. Term and Amendments

1. Participation in the Affiliate Program is agreed for an indefinite term. Either party may terminate participation at any time upon 14 days' written notice.

2. Right to Amend: The Organizer reserves the right to modify these Terms for valid economic, legal, or operational reasons upon 30 days' advance notice communicated via email or dashboard notification.

3. Protection of Acquired Rights: Modifications will not adversely affect commissions already accrued or customers referred prior to the effective date of the change.

§ 9. Final Provisions

1. For matters not covered herein, the general Terms of Service of OperPilot and applicable Polish laws shall apply.

2. Any disputes arising from the Affiliate Program will be sought to be resolved amicably, and failing that, submitted to the competent court having jurisdiction over the Organizer's registered office in Warsaw, Poland.

3. These Terms are effective as of September 6, 2026.
